This study aims to clarify the legal system of commercial bonds according to the Omani Law as bonds are considered one of the important securities that are issued by public companies against the amount borrowed. And in order to achieve my goal, in the introductory - chapter, I explained the meaning, specialty and importance of public companies and the securities they issue. I divided this study into two comprehensive chapters, in the first chapter I discussed the meaning of bonds in language and distinguished between bonds and securities and their importance to subscribers and public companies. Then, I mentioned six types of bonds that are the most famous in law books. And finally at the end of the chapter one I discussed the features that distinguish bonds than the other securities. In chapter two I discussed the conditions of bonds issuance as stated by the Omani Law which in general considered protecting the issuance party and subscribers, and shows that some terms were mentioned in the Corporate Law and others are in the Capital Market Law and its Executive Regulations. I then mentioned the arrangements that the issuance go through starting from preparing the prospectus to the subscription stage. Then the bondholders representative was discussed that was created according to the Royal Decree 99/2005 on 28th November 2005 and was called by that Bondholders Agent and his responsibilities and rights were clarified. Moreover, I talked about the general assembly of bondholders and the procedures of the meeting and its quorum. And finally at the end of this chapter I mentioned the rights and responsibilities of bondholders. This study has come out with several findings and recommendation
