English abstract
This dissertation titled by: Dissolution of Company of Limited Liability in Omani Law contains an analyses of the legal structure of Company of Limited Liability and, its economic importance on both of national and international levelcharacteristics of these companies, reasons and effects for dissolution.
Also, thesis declares the limits of partners responsibility arising out of dissolution of Company of Limited Liability. The legal analyses based on both of Omani law of commercial companies and Omani civil transactions law, with a comparative study of some Arab Laws in the same Field.
The thesis contains 3 main chapters:
The introductory chapter contains a historical perspective for the Company of Limited Liability, its economic importance, and characteristics distinguish it from other forms of commercial companies.
The First chapter talks about reasons of dissolution of Company of Limited Liability, It contains an analyses of both of general reasons of dissolution, applied to all forms of companies, and reasons of dissolution related to Company of Limited Liability due to its legal nature.
Second chapter analyze legal effects of dissolution of Company of Limited Liability concerning the company as a juristic person, the partners and the third parties deal with the company.
Finally, the conclusion of the thesis contains the results of legal analyses of rules governing dissolution of Company of Limited Liability in different laws and recommendations of the researcher concerning Omani laws applicable to such companies.
