English abstract
This study aims to address the issue of liability for damages resulting from the
adoption of artificial intelligence systems in corporate governance, This is done
through the comparative analytical approach, The importance of the study was
represented in the fact that artificial intelligence is one of the most prominent
topics that has occupied the attention of many workers in the legal field, From
this standpoint, it can play a major role in implementing governance principles in
commercial companies, Especially since governance is one of the most important
mechanisms for improving the performance of commercial companies.
At the end of the study, the researcher reached some results, perhaps
the most important of which is that artificial intelligence is characterized by
several characteristics, including independence, prediction, accuracy, and high
speed in receiving hypotheses and finding solutions for them, However, it is
not without some drawbacks, including the high cost of its implementation
and its lack of ethics and human values, Legal liability for damages resulting
from the adoption of AI systems in corporate governance depends largely on
the type of AI adopted by the company as it applies governance principles.
The researcher also reached some recommendations, the most important of
which is that the legislator should adopt the establishment of specialized courts
in artificial intelligence cases, And that artificial intelligence applications be
granted legal personality, so that they can perform their role and enjoy some
rights, while at the same time being bound by some obligations, However, that
legal personality should be of a special type, and the standard of the prudent
person should be adopted, rather than the standard of the ordinary person,
with regard to tort liability for damages arising from AI applications, The
legislator should expand the scope of civil liability for damages resulting from
the adoption of artificial intelligence systems, to include objective liability, in
addition to both contractual liability and tort liability.
